Standard Agreement for Soft Shopping Mall Entry



Chapter 1 Settlement


1.1 The Soft Shopping Mall has not yet authorized any institutions to provide agency investment services. The application process and related fee instructions for entry are subject to the official investment page of the Soft Shopping Mall.


1.2 The soft shopping mall has the right to return the seller's application based on other factors including but not limited to brand needs, company operating conditions, service level, etc.


1.3 The Soft Shopping Mall has the right to require sellers to provide other qualifications during the application for entry and subsequent business stages.


1.4 The soft shopping mall will update investment standards periodically based on the development trends of various industries, relevant national regulations, and consumer purchasing needs.


1.5 The seller must provide truthful information and information:


1.5.1 Please ensure the authenticity, completeness, and validity of the relevant qualifications and information provided during the application for entry and subsequent business stages (if the qualifications provided by the seller are provided by a third party, including but not limited to trademark registration certificates, authorization letters, etc., please verify the authenticity, validity, and completeness of the documents first). Once false qualifications or information are found, The Soft Shopping Mall will no longer cooperate with the seller and has the right to handle it in accordance with the rules of the Soft Shopping Mall and the relevant agreements signed with the seller;


1.5.2 The seller shall truthfully provide the subject and relevant information of their store operation, including but not limited to the actual operating subject of the store, the agency operating company, and other information;


1.5.3 If there are relevant regulations on changes to seller information and data in the Software Mall, they shall comply with their regulations. However, if a seller changes the information listed in item 1.5.2, they shall notify the Software Mall in writing ten days in advance; If not notified in advance, the Soft Shopping Mall will handle it according to the rules of the Soft Shopping Mall.


1.6 Soft Shopping Mall will not accept the application for settlement of individual businesses for the time being. The seller must be an officially registered enterprise, and will not accept the application for settlement of non Chinese Mainland registered enterprises for the time being.


1.7 The Soft Shopping Mall currently does not accept brand store opening applications that have not obtained the trademark registration certificate or trademark acceptance notice issued by the State Administration of Trademark, nor does it accept applications for pure graphic trademarks. If the seller provides a trademark acceptance notice (TM status trademark), the registration application time must be at least six months.



Chapter 2 Types of Platform Stores and Related Requirements


2.1 Flagship Store, a store opened by a seller on the SoftBuy Mall under their own brand (with a trademark in R or TM status), or an authorization document issued by the rights holder to open a brand flagship store on the SoftBuy Mall (the authorization document should clearly state exclusivity and irreversibility).


2.1.1 Flagship stores can have the following situations:


Operating a flagship store of a seller with a self owned brand (trademark in R or TM status) to enter the soft shopping mall, (self owned brand refers to the trademark rights belonging to the seller, sub brands of the self owned brand can be placed in the flagship store, and the trademark owners of the main and sub brands should be the same actual controller);


Operating a flagship store of a seller who has obtained clear exclusive authorization for a branded product to enter the Soft Shopping Mall;


Flagship stores opened by trademark owners of store type brands (service trademarks);


2.1.2 The entity opening the store must be the brand (trademark) owner or the authorized enterprise holding the exclusive authorization document issued by the owner to open the flagship store of the soft shopping mall.


2.2 Exclusive store, a store opened by a seller in the Soft Shopping Mall with authorization documents from another brand (trademark in R or TM status).


2.2.1 Type of exclusive store: A seller's exclusive store that operates one or more authorized brand products (the trademark owners of multiple authorized brands should be the same actual controller) but has not obtained exclusive authorization from the flagship store to enter the soft shopping mall;


2.2.2 The authorization documents issued by the brand (trademark) owner should not have geographical restrictions.


2.3 Exclusive stores refer to stores that operate two or more products of others or their own brands (with a trademark of R or TM status) under the same primary business category in the soft shopping mall.


2.3.1 Exclusive stores can have the following situations:


Seller exclusive stores that operate two or more other brand products under the same primary category and enter the soft shopping mall;


Seller exclusive stores that operate both other brand products and self owned brand products under the same primary category and settle in the soft shopping mall.


2.4 For detailed instructions on the naming of various types of stores, please refer to the "Naming Rules for Seller Stores in the Soft Shopping Mall".



Chapter 3 Qualification Standards for Platform Application for Residency


3.1 The qualification standards for applying to join the open platform platform can be found in the "Detailed Rules for Investment Qualification Standards of Soft Shopping Mall".



Chapter 4 Restrictions on Opening and Entering Stores


4.1 Brand entry restrictions:


4.1.1 Brands with the same or similar names as existing proprietary brands, channels, businesses, categories, etc. in the soft shopping mall;


4.1.2 Brands containing industry names or generic names;


4.1.3 Brands containing well-known individuals and place names;


4.1.4 Brands that are identical or similar to well-known brands.


4.2 Restrictions on Business Categories: The categories operated by the seller when opening a store should comply with the relevant standards of the Soft Shopping Mall. For details, please refer to the "List of Business Category Fees in the Soft Shopping Mall".


4.3 Restrictions on stores with the same entity:


4.3.1 A single store can only correspond to one business model. Please refer to the corresponding contract signed with the seller for the content of each business model;


4.3.2 If the same entity opens multiple stores, the total number of business models shall not exceed two, and a written application must be submitted to the Soft Shopping Mall 10 days in advance when carrying out the second business model;


4.3.3 Product overlap: It is required that the brands and products operated between stores must not be duplicated. Stores approved by the Soft Shopping Mall under item 4.3.2 are not subject to this constraint.


4.4 Restrictions on the re entry of the same entity into the soft shopping mall:


4.4.1 Those who have been expelled from the Soft Shopping Mall due to serious violations or false qualifications shall be permanently restricted from entering;


4.4.2 If the seller voluntarily withdraws twice within a natural year, entry will be restricted for 12 months from the date of the last withdrawal.


4.5 Renewal Restrictions: The renewal application must be submitted before 18:00 on March 1st each year, and the platform usage fee must be paid before 18:00 on March 20th each year. If the previous and next year's fees and information are not supplemented, the Soft Shopping Mall will terminate the store service and remove the products from the shelves at 24:00 on March 31st each year.



Chapter 5 Platform Open Platform Deposit/Platform Usage Fee/Rate Standards


5.1 Deposit: The amount paid by the seller to the soft shopping mall to ensure the standardized operation of the store and guarantee the quality of goods and services. When the seller breaches or violates the contract, the Soft Shopping Mall can deduct the corresponding amount of deposit as a penalty or compensate the buyer in accordance with the relevant provisions in the agreement signed with the seller and the rules of the Soft Shopping Mall.


5.1.1 The replenishment, refund, and deduction of the security deposit shall be handled in accordance with the relevant agreements signed by the seller and the rules of the soft purchase mall;


5.1.2 The corresponding deposit standards for each business category in the Soft Shopping Mall are detailed in the "List of Fees for Business Categories in the Soft Shopping Mall".


5.2 Platform usage fee: The fixed technical service fee paid by the seller when using various services of the Softshopping Mall in accordance with the relevant agreements signed with the Softshopping Mall. The platform usage fee standards corresponding to each business category in the Softshopping Mall are detailed in the "Softshopping Mall Business Category Fee List". The platform usage fee corresponding to the seller's renewal service period must be paid in a lump sum before 18:00 on March 20th each year; Newly signed sellers are required to pay the platform usage fee for the corresponding service period in a lump sum when their application for entry is approved.


5.2.1 Platform usage fee settlement:


5.2.1.1 If the seller voluntarily requests to stop the store service, the platform usage fee will not be refunded;


5.2.1.2 If the seller is dismissed due to violation of regulations or falsification of qualifications, the platform usage fee will not be refunded;


5.2.1.3 The platform usage fee for each store is calculated and paid based on the corresponding service period. If the service is opened between the 1st and 15th of each month (inclusive), the platform usage fee will be charged for the month of opening. If the service is opened between the 16th and the last day of each month (inclusive), the platform usage fee will not be charged for the month of opening;


5.2.1.4 A store with an independent store ID is considered a single store. If the seller needs to open multiple stores based on their business situation, they must pay the corresponding platform usage fee according to the number of stores.


5.3 Fee Rate: The fee paid by the seller to the Soft Shopping Mall in proportion (referred to as the "Technical Service Fee Rate" or "Gross Profit Guarantee Rate" in the relevant agreements signed with the seller) when completing each transaction based on the business category. The corresponding fee standards for various business models and categories in the Softshopping Mall are detailed in the "Softshopping Mall Business Category Fee List".



Chapter 6 Store Service Period


6.1 The first service period for each seller's store starts from the date of service opening and ends on March 31, the second service period starts from April 1 and ends on March 31 of the following year, and the third, fourth... service periods are repeated for one year, unless the store or relevant agreements signed with the seller are terminated in advance.


6.2 The service opening date for each seller's store shall be based on the time notified or recorded by the software shopping mall or system.


6.3 The seller shall submit an application for renewal to the Soft Shopping Mall 30 days before the expiration of each service period of the store, pay the platform usage fee for the renewal service period, and submit all valid qualifications required for its operation, which shall be reviewed by the Soft Shopping Mall.


6.4 If the seller fails to apply for renewal or fails to pass the review of the Soft Shopping Mall, the Soft Shopping Mall will no longer provide any services of the store to the seller from the date of expiration of the store service period.
